These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Lanesurf ("Lanesurf," "we," "us," or "our"), concerning your access to and use of the https://lanesurf.com website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"), and our Services (defined below). We are registered in Delaware, United States.

BY ACCESSING OR USING THE SITE OR OUR SERVICES, YOU ACCEPT AND AGREE TO BE BOUND BY ALL OF THESE TERMS OF USE. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any material changes by updating the "Last updated" date of these Terms of Use. You should review the Terms of Use periodically. Continued use of the Site after changes have been posted constitutes acceptance of the modified Terms.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Lanesurf to any registration requirement within such jurisdiction or country. Those who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws.

The Site and Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, GLBA, or similar frameworks. If your use of the Site or Services would be subject to such laws, you should not use the Site unless and until we expressly agree in writing to accommodate those requirements. The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.

1. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Site and Services (including but not limited to source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics — collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned by or licensed to Lanesurf and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The Content and the Marks are provided on the Site "AS IS" for your information and personal, non-commercial use only. Except as expressly provided in these Terms of Use, no part of the Site, Content, or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without Lanesurf's prior written permission.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and to download or print a single copy of any portion of the Content to which you have properly gained access for your personal, non-commercial use. Lanesurf reserves all rights not expressly granted.

2. USER REPRESENTATIONS

By using the Site and Services you represent and warrant that:

• You have the legal capacity to enter into these Terms of Use and to comply with them;
• You are not a minor in the jurisdiction in which you reside;
• You will not access the Site or Services through automated or non-human means (e.g., bots, scrapers) unless expressly permitted in writing;
• You will not use the Site or Services for any unlawful or unauthorized purpose; and
• Your use of the Site and Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, Lanesurf has the right to suspend or terminate your account and refuse any and all current or future use of the Site or Services.

3. PROHIBITED ACTIVITIES

You may not use the Site or Services except as permitted by these Terms. Without limiting the foregoing, you agree not to, and will not assist or enable others to:

• Systematically retrieve data or other content to create or compile any collection, compilation, database, or directory without Lanesurf's express written permission.
• Trick, defraud, or mislead Lanesurf or other users, including attempts to obtain sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Site or Services.
• Disparage, tarnish, or otherwise harm Lanesurf or the Site.
• Use information obtained from the Site or Services to harass, abuse, or harm another person.
• Make improper use of Lanesurf's support services or submit false abuse reports.
• Use the Site or Services in a way that violates applicable laws, regulations, or third-party rights.
• Frame or link to the Site in any unauthorized manner.
• Upload or transmit viruses, malware, or other harmful code or otherwise interfere with the operation of the Site.
• Use automated systems (scrapers, robots, spiders, data mining tools, scripts) to access or use the Site or Services unless expressly permitted.
• Remove any intellectual property or proprietary notices from any Content.
• Impersonate another user or person or create accounts by automated means or under false pretenses.
• Solicit, advertise, or promote goods or services on the Site without Lanesurf's prior written consent.
• Use the Site or Services to compete with Lanesurf or for any revenue-generating enterprise not expressly approved by Lanesurf.

Violation of any of the prohibited activities may result in suspension or termination of your access and may expose you to civil and criminal liability.

4. USER GENERATED CONTRIBUTIONS

The Site may permit you to post, upload, submit, publish, or otherwise make available content including text, audio, video, images, comments, or other materials ("Contributions"). Contributions may be viewable by other users and the public. By providing Contributions you represent and warrant that:

• You own or have the necessary rights to the Contributions and you have the right to grant Lanesurf the license described below;
• The Contributions do not infringe any third-party rights (copyright, trademark, privacy, publicity, or other proprietary rights);
• The Contributions are not unlawful, obscene, defamatory, threatening, abusive, invasive of privacy, or otherwise objectionable; and
• The Contributions do not contain advertising, spam, chain letters, or solicitation.

Any Contribution you submit is non-confidential and non-proprietary. By submitting Contributions you grant Lanesurf a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to host, use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Contributions in any media now known or hereafter developed for any purpose, commercial or otherwise. You waive moral rights to the extent permitted by law.

Lanesurf does not claim ownership of your Contributions; you retain ownership of any rights you may have in the Contributions. However, you acknowledge that Lanesurf may use, edit, remove, or reformat Contributions at its discretion and has no obligation to store, monitor, or publish any Contribution.

5. CONTRIBUTION LICENSE AND RIGHTS

By posting Contributions to the Site, you automatically grant Lanesurf, and represent and warrant that you have the right to grant, an unrestricted, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully paid worldwide license to use, reproduce, modify, adapt, publish, translate, publicly perform, publicly display, distribute, and otherwise exploit your Contributions (including your name, voice, and likeness) for any purpose. Lanesurf is under no obligation to pay compensation for such use.

You agree to indemnify Lanesurf for any claim brought against Lanesurf arising out of or related to your Contributions.

6. SOCIAL MEDIA AND THIRD-PARTY ACCOUNTS

You may choose to link third-party accounts (e.g., Google, LinkedIn) to your Lanesurf account. By doing so you authorize Lanesurf to access certain information from those accounts in accordance with the third party's permissions and settings. Lanesurf will use such data only as described in our Privacy Policy.

You are responsible for the information you make available via third-party services and for reviewing their terms and privacy practices. If a third-party provider revokes Lanesurf's access, associated features or content may no longer be available.

7. SUBMISSIONS

Any feedback, suggestions, ideas, improvements, or other information you provide to Lanesurf regarding the Site or Services (collectively, "Submissions") will be non-confidential and Lanesurf will be free to use, disclose, reproduce, license, or otherwise distribute and exploit such Submissions for any purpose without restriction or compensation to you.

8. THIRD-PARTY WEBSITES AND CONTENT

The Site may contain links to third-party websites or resources. Lanesurf is not responsible for the availability, accuracy, or content of such third-party sites, and inclusion of any link does not imply endorsement. Any dealings you have with third parties found through the Site are between you and the third party, and Lanesurf has no liability arising from those dealings.

9. SITE MANAGEMENT

Lanesurf reserves the right to:

• Monitor the Site for violations of these Terms;
• Take legal action against users who violate the Terms;
• Remove or refuse to post any Contributions at our discretion;
• Remove content that is excessive in size or burdensome to our systems; and
• Otherwise manage the Site to protect Lanesurf's rights and ensure the Site functions properly.

10. PRIVACY POLICY

Lanesurf cares about data privacy and security. Please review our Privacy Policy at https://lanesurf.com/privacy-policy which is incorporated into these Terms by reference. By using the Site and Services, you acknowledge that Lanesurf may transfer and process your data in the United States and other jurisdictions in accordance with the Privacy Policy.

11. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE AND POLICY

Notifications

Lanesurf respects the intellectual property rights of others. If you believe your copyrighted work has been posted on the Site without authorization, notify Lanesurf's Designated Copyright Agent with a written DMCA notice that includes all elements required under 17 U.S.C. § 512(c)(3):

• Your physical or electronic signature;
• Identification of the copyrighted work you claim has been infringed;
• Identification and location (URL) of the infringing material;
• Your contact information (address, telephone, email);
• A statement of good-faith belief that use is unauthorized; and
• A statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.

Counter-Notification

If your material was removed and you believe it was removed in error, you may send a counter-notice in compliance with 17 U.S.C. § 512(g)(3), including:

• Identification of the material removed and its location before removal;
• A statement consenting to the jurisdiction of the Federal District Court where your address is located (or where Lanesurf is located if you are outside the U.S.);
• A statement under penalty of perjury that you have a good-faith belief the material was removed by mistake; and
• Your name, address, telephone number, and physical or electronic signature.

Upon receipt of a proper counter-notice, Lanesurf may restore the material unless the complainant files a court action.

Designated Copyright Agent

12. TERM AND TERMINATION

These Terms remain in effect while you use the Site and Services. Lanesurf may, in its sole discretion and without notice or liability, deny access to and use of the Site and Services (including blocking IP addresses), suspend or terminate accounts, or remove content for any reason, including violation of these Terms. Termination does not relieve you of obligations incurred prior to termination and Lanesurf may retain certain information as described in the Privacy Policy.

If Lanesurf terminates your account, you are prohibited from registering a new account or using the Site under any other name or account without Lanesurf's prior written permission.

13. MODIFICATIONS AND INTERRUPTIONS

Lanesurf may modify, suspend, or discontinue the Site or any portion of the Services at any time without notice. Lanesurf is not liable for any modification, suspension, or discontinuance of the Site or Services. The Site may be unavailable from time to time for maintenance or other reasons.

14. GOVERNING LAW

These Terms and your use of the Site and Services are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles.

15. DISPUTE RESOLUTION

Informal Negotiations

Before pursuing arbitration, the parties agree to attempt to resolve any dispute informally by written notice and 30 days of good-faith negotiation.

Binding Arbitration

If informal negotiations do not resolve the dispute, all disputes (except as excluded below) will be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and, where applicable, AAA's Supplementary Procedures for Consumer-Related Disputes. Arbitration fees and arbitrator compensation will be governed by the AAA rules.

Arbitration may be conducted in person, by phone, or online. The arbitrator will apply applicable law, and judgment on the award may be entered in any court having jurisdiction. The arbitration shall take place in New Castle County, Delaware, unless otherwise agreed.

Class/Representative Action Waiver: To the fullest extent permitted by law, you and Lanesurf agree that each may bring claims only on an individual basis and not as a class or representative action.

Exceptions

The following claims are not subject to arbitration: claims seeking injunctive relief to protect intellectual property rights, and claims related to theft, piracy, invasion of privacy, or unauthorized use.

If arbitration is found unenforceable, disputes shall be litigated in state or federal courts located in New Castle County, Delaware; you consent to personal jurisdiction and venue in those courts.

Statute of Limitations: Any claim must be brought within one (1) year from the date the cause of action arose, unless otherwise required by applicable law.

16. CORRECTIONS

Information on the Site may contain typographical errors or inaccuracies. Lanesurf reserves the right to correct errors and update the Site content without prior notice.

17. DISCLAIMER

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LINESURF DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LINESURF MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF THE SITE CONTENT OR THIRD-PARTY SITES. YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK.

18. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LINESURF NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, LINESURF'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES WILL BE LIMITED TO THE AMOUNT PAID BY YOU TO LINESURF, IF ANY, DURING THE SIX (6) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IF SUCH LAWS APPLY, SOME LIMITATIONS ABOVE MAY NOT APPLY TO YOU.

19. INDEMNIFICATION

You agree to indemnify and hold harmless Lanesurf and its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to: (1) your Contributions; (2) your use of the Site or Services; (3) your violation of these Terms; (4) your violation of applicable law; or (5) your infringement of any third-party right.

Lanesurf may, at its option and expense, assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate.

20. USER DATA

You are responsible for all data you transmit via or store on the Site and Services. Lanesurf performs routine backups but is not liable for any loss or corruption of data you transmit. You should maintain your own backups and take reasonable precautions.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Site and Services you consent to receive communications electronically (e.g., email). You agree that such communications satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures where applicable.

22. CALIFORNIA USERS AND RESIDENTS

If you are a California resident and have unresolved complaints that Lanesurf has not satisfactorily addressed, you may contact the Complaint Assistance Unit of the Division of Consumer Services, California Department of Consumer Affairs, at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.

23. MISCELLANEOUS

These Terms, together with the Privacy Policy and any other policies posted on the Site, constitute the entire agreement between you and Lanesurf concerning the Site and Services. Lanesurf's failure to enforce any right or provision under these Terms will not constitute a waiver of such right. If any provision is held invalid, that provision will be severed and the remainder will remain in effect. These Terms do not create any joint venture, partnership, employment, or agency between you and Lanesurf. You agree these Terms will not be construed against Lanesurf merely because Lanesurf drafted them.

24. SEVERABILITY & ASSIGNMENT

Lanesurf may assign its rights and obligations under these Terms at any time. You may not assign or transfer your rights or obligations without Lanesurf's prior written consent.
